Description

Financial distress is a scary thought for investors and business owners, yet it typically is part of a firm's natural life cycle. Firms operate in competitive markets, and in the face of intense competition, some succeed while others fail. Financial distress sets in when a firm faces the danger of not being able to settle its debts as they come due. 

The insolvency law offers two ways to resolve financial distress: reorganization and liquidation. Reorganization creates a plan to restructure the firm's business and, more importantly, its debts, and eventually restore its financial health. Liquidation is a more extreme solution where the firm stops operating, its assets are sold, and the proceeds are used to pay creditors.

At the very most, averting a financial crisis must rank high in the priority list of every corporate finance director. At the very least, its management and control must stay focused on firm value preservation. Ensuring that these realities get the attention they deserve requires the development and honing of specific financial management skills which this particular module generously provides. Participants are grounded on the essentials of averting, and more importantly, surviving, financial distress.

Who should attend

This module is highly recommended for investment bankers, business professionals, consultants, lawyers and entrepreneurs, and other finance practitioners involved, one way or another, in turning around financially-distressed companies. Those familiar with or have adequate working knowledge of company valuations, investment banking, and basic business mathematics and statistics will find this module most meaningful and beneficial.

Successful completion of this module enables the participants to:

  1. Recognize and explain the main causes of corporate financial distress;
  2. Implement mechanisms to detect potential problems while adequate alternatives for remedial action still exist;
  3. Explain the difference between reorganization and liquidation under the bankruptcy code;
  4. Understand the principles, the legal requirements and the mechanics of financial rehabilitation;
  5. Analyze a given scenario and conceptualize/develop an appropriate financial rehabilitation plan;
  6. Recognize the benefits of mergers and divestitures in corporate restructuring;
  7. Describe the business liquidation process; and
  8. Explain vulture investing as a mechanism for value creation.

The course, which employs lectures, interactive discussions, case studies and practical application exercises, covers the following areas:

  •     Understanding corporate financial distress and its consequences
  •     Common causes of business failure: internal and external
  •     Early financial distress detection
  •     Reorganization vs. liquidation
  •     Development and implementation of a financial rehabilitation plan
  •     Working with and seeking concessions from creditors
  •     Liquidation in bankruptcy: advantages and disadvantages, mechanics
  •     Vulture investing
  •     Legal and accounting aspects

 

Mr. Abener M. Balatbat held the position of First Vice President under the Corporate Banking Group of Rizal Commercial Banking Corporation. As a Relationship Manager for several years, he managed accounts ranging from conglomerates and commercial accounts to medium and small enterprises. The big-ticket accounts he handled include the Ayala Group, PLDT Group, Lopez Group and Metrobank Group. He also functioned as Head of Ortigas Lending Center in RCBC’s Small and Medium Enterprise Division.

He is seasoned in the various aspects of account management from new client acquisition, loan structuring and relationship deepening to remedial management. He has acquired a good understanding of companies involved in various industries, such as, manufacturing, retailing, lending, logistics, real estate and power generation. 

He is adept in account handling as a result of conducting due diligence, performing financial analysis, and applying risk management in effectively overseeing the quality, profitability and growth of his loan portfolio.  He is highly experienced in arranging credit facilities from packaging revolving credit lines and term loans to structuring loan syndications and project finance.

He completed, among others, the Leadership Development Program course by John Clements Consultant, Inc. being offered to RCBC’s senior officers.

Prior to his employment with RCBC, he had the opportunity of working in several other major banks, namely, Philippine National Bank, Union Bank, China Banking Corporation and the Saudi British Bank (HSBC, Riyadh).

Mr. Balatbat graduated from the University of the Philippines (Diliman) with a Bachelor of Arts degree in Economics. He finished his MBA from the Ateneo de Manila University.  He is a candidate for a Doctorate of Business Administration course from the De La Salle University.
 

Atty. Emily Sibulo-Hayudini is a highly accomplished lawyer with over four decades of experience in legal practice, corporate governance, and social advocacy. She is currently a solo law practitioner, corporate secretary/legal consultant at SEAOIL Philippines, Inc. Group of Companies and Novel Securities Inc. She is also an accredited court mediator at The Philippine Judicial Academy of the Supreme Court.

Her extensive work experience includes various positions at the Rizal Commercial Banking Corporation, Inc. (RCBC), where she was the head and First Vice-President of Remedial Management & Special Assets Department (REMSAD), responsible for the bank's non-performing loans nationwide. She has also served as a lecturer and resource speaker at the Ateneo Institute of Banking and other banks, insurance companies, and government agencies. 

She is also actively involved in various social and civic organizations, including serving as a trustee/corporate secretary of SEAOIL Foundation, Inc., a trustee of the ZONTA Club of Muntinlupa City and Environs, Inc., and president of Sigla ng Buhay Foundation, Inc. She is also the chair of the ZCME Education and Scholarship Committee, which grants scholarships to deserving but financially disadvantaged female students.

Atty Hayudini graduated from the University of the Philippines with a degree in Political Science and later earned her Bachelor of Laws from the UP College of Law. After obtaining her law degree, she pursued a Master of Laws degree at the University of Michigan as a De Witt Fellow Scholar. She is a member of the Philippine Bar, the New York Bar, and the UP Women Lawyer's Circle. She is also a lifetime member of the Integrated Bar of the Philippines.
